Tycoon Manuel V. Pangilinan-led Manila Electric Co. has appointed retail entrepreneur Bernido H. Liu and veteran banker Bernadine T. Siy as new independent directors, refreshing its board after two longtime members reached regulatory term limits.

The pair replace retired Supreme Court Chief Justice Artemio V. Panganiban, who served as Meralco’s lead independent director since 2008, and Pedro Emilio O. Roxas, who had been an independent director since 2010.

Panganiban chaired the audit committee, while Roxas led the related party transactions and nomination and governance committees, in addition to serving on the audit, finance, risk, remuneration and sustainability committees.

The appointments were approved during Meralco’s annual stockholders’ meeting on Monday.

Retail entrepreneur Bernido H. Liu and veteran banker and businesswoman Bernadine T. Siy join Merlaco as independent directors.

Broad leadership experience

Liu chairs Golden ABC Inc., the company behind Penshoppe, OXGN, ForMe and Regatta, and also heads diversified holding company LH Paragon. He also serves as an independent director of PLDT.

Siy previously led Epicurean Partners Exchange Inc., the Philippine operator of Kenny Rogers Roasters and Seattle’s Best Coffee, after earlier roles at Citibank and The First National Bank of Chicago.

She also serves as an independent director of PLDT, JG Summit Holdings and Cebu Air, bringing experience in banking, consumer businesses and corporate governance to Meralco’s board.
