The Tantoco family’s listed SSI Group is starting to consolidate the family’s vast retail network with the purchase of nearly 100 percent of Rustan Marketing Corp., the distributor of footwear, high-end fragrances, and luggage, for P232 million.

Founded in 1964, RMK has long played a central role in launching global brands in the country, with distribution across more than 1,300 retail and wholesale outlets and all major e-commerce platforms.

What is RMK?

The company sells Givenchy, Lacoste, and Maison Margiela fragrances; American Tourister and Samsonite bags; Tefal and KitchenAid cookware; and Clarks and Nine West footwear and bags.

The company said RMK’s unaudited 2024 results showed a net income of P44.2 million, revenues of P1.1 billion, and earnings before interest, taxes, depreciation, and amortization at P111.2 million.

Deal reviewed by SSI governance board

The deal, which was approved by SSI’s board, gives the company greater reach across third-party department stores, supermarkets, and digital retail.

RMK, owned by members of the Tantoco family, was acquired following review and approval by SSI’s Related Party Transactions Committee.

As a condition for closing, the selling shareholders will infuse P232.1 million into RMK prior to finalizing the deal.

What other firms are part of the Rustan’s Group?

The flagship company is Rustan Commercial Corp., whose brands include Tiffany, Chanel, and Hermès.

The Tantocos also own Rustan Coffee, which operates the Starbucks chain in the Philippines.
