Razon-backed Manila Water finalizes P37.8-B Wawa Dam takeover in September

Tycoon Enrique Razon Jr.’s Manila Water Co. Inc. (MWC) will finalize its P37.8-billion acquisition of WawaJVCo Inc. by Sept. 30, 2025, cementing full control of the Wawa Bulk Water Supply Project in Rizal province from affiliate Prime Infrastructure Inc. 

WawaJVCo manages strategic water facilities in Rizal, such as the Tayabasan Weir and Upper Wawa Dam, which now deliver 80 million liters per day (mld) and are set to ramp up to 518 mld under a 30-year take-or-pay agreement with MWC running until 2050. 

Once fully operational, the Upper Wawa Dam will supply downstream treatment plants in Calawis, Kaysakat, and Pasig.

The deal will be settled in tranches, P6.11 billion on Dec. 15, 2025, followed by the balance on Jan. 30, 2026, subject to final closing adjustments.

 It includes over 3 million common shares, 4.76 million non-voting preferred shares, and P1.53 billion in deposits for future stock subscriptions.

MWC said the purchase will boost earnings and enhance long-term water security, allowing direct oversight of the dam to improve efficiency and operational synergies. It also fortifies Metro Manila’s supply network amid rising demand and climate pressures.
