In a statement on Feb. 3, 2026, the former senator and real estate magnate said neither he nor Villar Land has received a copy of the complaint, limiting his understanding of the case to media reports. He noted that the DOJ must still determine whether a preliminary investigation will be conducted.
Why it matters
The statement places Villar’s personal credibility and business track record at the center of the unfolding regulatory case, underscoring how reputational risk can weigh heavily on major listed firms even before formal proceedings begin.
What he’s saying
Villar said his record as an entrepreneur spanning decades stands in sharp contrast to the accusations being raised.
“In all my years as an entrepreneur, from the time I helped my mother sell shrimps and fish in Divisoria to leading one of the most successful businesses in the country, I have never engaged in illegal practices designed to defraud customers and investors, or unduly benefit myself or the companies I own.”
He emphasized that integrity and lawful conduct have always guided both his personal career and the operations of his companies.
Villar also highlighted Villar Land’s adherence to corporate governance standards, saying the company has consistently cooperated with regulators.
“First, our company has consistently upheld the highest standards of good corporate governance. All our businesses and officers understand that corporate good governance is essential for building trust among investors and fostering sustainable growth. In fact, we welcomed and fully cooperated when the SEC began its fact-finding investigation.”
The backdrop
The SEC recently filed an insider trading complaint with the DOJ following its own review, though prosecutors have yet to determine whether the case will proceed to a preliminary investigation. Villar said his company remains in the dark regarding the specific allegations cited in the filing.
Despite this, Villar reiterated his commitment to transparency and regulatory compliance.
“Second, may I repeat again that we are unequivocally committed to transparency and compliance with existing rules and regulations being enforced by both the SEC and the Philippine Stock Exchange. We have consistently disclosed material developments and continues to coordinate with regulatory bodies regarding the status of our financials.”
What’s next
Villar said Villar Land will address the accusations through appropriate legal channels and cooperate fully with authorities.
“I assure the public that Villar Land will respond to all these allegations in the proper forum, and that we will fully cooperate with an impartial investigation that fosters due process, protects the public’s welfare, and ferrets out the truth.”
He closed by expressing confidence that the allegations will ultimately be dismissed.
