Liberty Flour weighs flour exit amid governance, balance-sheet woes

The nearly 70-year-old Liberty Flour Mills Inc. is weighing a possible exit from the segment that defined its business for decades.

Led by siblings William Carlos Uy and John Carlos Uy, the firm is now reviewing options, including the sale of its flour business amid lingering governance issues and balance-sheet pressure tied to the unit.

Firm hires advisor 

“Operations across all business units will continue as normal throughout the duration of the review. In addition, the board has appointed an adviser to assist in this process,” the company said in a stock exchange filing on Thursday.

Liberty Flour, founded in 1958, is known for brands such as El Superior and LFM Bakers. 

The company, listed on the Philippine Stock Exchange sine 1995, rose 8.7 percent to P35 each on Thursday on thin trading volume. Liberty Flour, valued at about P5.2 billion, has surged almost 115 percent over the past 12 months. 

Preliminary stage 

The strategic review is still at a preliminary stage, and the company stressed there is no certainty it will result in any transaction.

Apart from a possible sale, options include a “demerger, joint venture, or the continued retention and further development of the flour business, alongside a review of certain non-core assets.”

Troubled flour operations 

The move comes after earlier disclosures showed the flour unit had accumulated about P804 million in receivables from Parity Values Inc., its main distributor and largest shareholder.

Those receivables, paired with extended credit terms and weak collections, tied up cash and pushed Liberty Flour to monetize assets, including the 2023 disposal of its Liberty Building in Makati City to a company subsidiary for nearly P1 billion.

The company also announced board changes, with Daniel R. Maramba resigning as a director for personal reasons effective Jan. 28, 2026.

Following his resignation, the remaining directors elected Jamie Marie C. Ang to serve the unexpired portion of his term.
