The expansion from P3.42 billion comes as Dominion prepares to bring control of the massive Tampakan copper-gold project into the listed firm.
Dominion’s board approved a merger with Indophil Resources Phils. Inc. and Sonar Holdings Inc., which together hold 100 percent of the voting rights in Sagittarius Mines Inc. (SMI), holder of the Tampakan project in South Cotabato.

The latest disclosures provide a clearer picture of the companies Dominion is absorbing and the investors behind them.
Indophil directly owns 40 percent of SMI, while Sonar owns another 31.60 percent, giving them a combined 71.60 percent economic interest even as Dominion said the two together hold 100 percent of SMI’s voting rights.

Sonar has a much simpler structure, with Sy-led Sysmart Corp. holding 249,998 of its 250,000 outstanding shares, effectively 100 percent, while nominee directors hold the remaining two shares.
The disclosures do not identify the holders of the remaining 28.40 percent economic interest in SMI or explain how Indophil and Sonar together exercise all of its voting rights.
Investors pile in
Investors are already placing a huge bet on that transformation.
Dominion shares have soared more than 1,000 percent this year and last closed at P15.60, valuing the company at about P33.7 billion.
The rally has turned what was once a dormant listed shell into one of the market’s biggest winners as investors price in the mining assets being assembled under Dominion.
DyBuncio earlier said Dominion “can be” the Philippines’ biggest mining company, and the Tampakan merger is its clearest move yet toward that ambition.
Dominon shares, the best performing stock this year, is currently under trading suspension to allow investors time to digest the news.
Building a mining giant
Plans to bring Tampakan into Dominion were first reported by InsiderPH, with president Frederic DyBuncio, also the CEO of SM Investments, confirming earlier this month that the group was working on the transaction.
Tampakan is regarded as Southeast Asia’s largest copper-gold resource and has remained undeveloped for decades because of regulatory roadblocks.
DyBuncio said the group is already building the road network for the project and is targeting the start of mining in two to three years, or as early as 2028.
The Consunji family is expected to provide mining operating expertise, with DMCI Holdings chair, president and CEO Isidro Consunji serving as Dominion chair and DMCI Mining president Tulsi Das C. Reyes sitting on its board.
SM Investments vice chair Henry Sy Jr. is also a Dominion director.
Atlas adds scale
Tampakan is only one part of Dominion’s emerging mining portfolio.
Dominion recently acquired a 20.43 percent stake in Atlas Consolidated Mining & Development Corp., giving the listed firm its first major mining investment.
SM Investments also plans to transfer its roughly 34 percent Atlas stake to Dominion in 2027 as the Sy conglomerate moves its mining interests outside SM Investments.
Combining the Atlas interests with control of Tampakan would give Dominion exposure to two major copper assets under one listed platform.
